These Terms of Use (“Terms”) govern your access to and use of the website located at https://lurexbio.com (the “Site”), operated by LurexBio, Inc. (“LurexBio,” “we,” “us,” or “our”), a preclinical-stage biotechnology company with a principal place of business at 501 East Las Olas Blvd., Suite 300, Fort Lauderdale, FL 33301. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About LurexBio and This Site

The Site provides general information about LurexBio’s corporate activities, scientific platform, pipeline, intellectual property, and related news. Nothing on the Site is, or should be read as, medical advice, a medical device, a diagnostic tool, or a therapeutic product available for use by any person.

LurexBio’s technology platform, including NeoTag™, Atraxis™, AegisCore™, and StratIQ™, is in the research, development, and/or preclinical stage. No product using LurexBio’s technology has received marketing authorization, clearance, or approval from the U.S. Food and Drug Administration or any other regulatory authority, and no such product is available for clinical or commercial use. The Site is not a means to enroll in a clinical trial or to request access to any investigational product.

2. No Investment, Medical, or Professional Advice

The Site, including its Investors section, may describe LurexBio’s business, scientific platform, corporate milestones, or capital-raising activities. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction, or a recommendation regarding any investment decision. Any offer or sale of LurexBio securities will be made only through definitive offering documents and in accordance with applicable exemptions from registration under the Securities Act of 1933, as amended, and applicable state and foreign securities laws. NeoTag™, Atraxis™ (including Atraxis-X™), AegisCore™, and StratIQ™, together with the LurexBio name and logo, are trademarks of LurexBio, Inc. Registration status may vary by jurisdiction. Your access to the Site does not grant you any license or right to use any LurexBio trademark, trade name, or logo.

LurexBio has filed patent applications covering aspects of its technology platform, including U.S. provisional patent applications and applications under the Patent Cooperation Treaty (PCT). Provisional and PCT applications preserve the ability to pursue patent protection but do not, by themselves, confer an enforceable patent right in any jurisdiction. Figures on the Site, such as the number of applications filed, reflect LurexBio’s portfolio as of the date stated. No statement on the Site represents that LurexBio holds issued, enforceable patents in any particular country.

Except as these Terms expressly permit, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any content from the Site without LurexBio’s prior written consent.

5. Permitted Use

You may view and download a single copy of materials on the Site for your own personal, non-commercial, informational use, provided you keep all copyright and other proprietary notices intact. You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Site or any related system or network;
• Introduce viruses, malware, or other harmful code;
• Use bots, scrapers, crawlers, or other automated means to access or collect content from the Site, other than standard search engine indexing;
• Use Site content to train, fine-tune, or build artificial intelligence or machine learning models without LurexBio’s prior written consent;

• Misrepresent your identity or affiliation, or impersonate any person or entity, in communications submitted through the Site;
• Reverse engineer, decompile, or otherwise attempt to extract the source code of any software underlying the Site.

The Site may link to third-party websites, platforms, or resources, including social media such as LinkedIn. LurexBio does not control and is not responsible for the content, accuracy, or practices of any third-party site, and a link does not imply endorsement. Your use of any third-party site is at your own risk and subject to that site’s own terms and privacy practices.

7. Your Submissions

If you submit information to LurexBio through a form or similar feature on the Site, you represent that the information is accurate and that you have the right to submit it. Do not submit confidential, proprietary, or medically sensitive information through the Site; it is not designed as a secure channel for such communications. Our collection and use of information submitted through the Site is described in the LurexBio Privacy Policy, which is part of these Terms.

If you send us unsolicited ideas, suggestions, or proposals, including scientific, technical, or business concepts, you agree that LurexBio has no obligation to keep them confidential, to review them, or to compensate you for them, and that LurexBio may use them without restriction. This does not apply to information shared under a separate written agreement with LurexBio.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. LUREXBIO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUREXBIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LUREXBIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LUREXBIO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless LurexBio and its officers, directors, employees, advisors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

11. Site Security

LurexBio maintains reasonable safeguards designed to protect the Site and the information collected through it, but no method of internet transmission or electronic storage is completely secure. LurexBio cannot guarantee absolute security and is not liable for unauthorized access to or use of Site data resulting from circumstances beyond its reasonable control. Do not probe, scan, or test the vulnerability of the Site or any related system or network, or breach any security or authentication measures, without LurexBio’s prior written authorization.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

LurexBio may revise these Terms from time to time. The effective date at the top of this page shows the date of the most recent revision, and material changes will be posted on this page. Your continued use of the Site after a revision takes effect means you accept the revised Terms.

14. Severability; No Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. LurexBio’s failure to enforce any provision is not a waiver of its right to do so later. These Terms, together with the LurexBio Privacy Policy, are the entire agreement between you and LurexBio regarding the Site and supersede any prior agreements on that subject.
